INTERNET RADIO ADVERTISING AGREEMENT


 

THIS ADVERTISING AGREEMENT (the "Agreement"), by and between:

(Hereinafter referred to as "Station")

 

AND

 

ADVERTISER / AGENCY:

(Hereinafter referred to as "Advertiser")

 

1. SCOPE OF ADVERTISING SERVICES

 

The Station agrees to broadcast audio advertisements ("Campaign") on behalf of the Advertiser via its internet radio stream, in accordance with the broadcast schedule, duration, and pricing outlined in Schedule A (attached hereto and incorporated by reference).

2. TERM & TERMINATION

  • Term: This Agreement shall commence on the Effective Date agreed upon with the station and advertiser and shall remain in effect until the completion of the Campaign specified in Schedule A, unless terminated earlier as provided herein.

  • Termination for Convenience: Either party may terminate this Agreement by providing fourteen (7) days written notice to the other party.

  • Termination for Cause: The Station reserves the right to immediately terminate this Agreement or suspend broadcasting if the Advertiser fails to make timely payments or violates Section 4 (Content Standards).

 

3. PAYMENT TERMS & RATES

  • Fees: Advertiser agrees to pay the total campaign amount specified in Schedule A.

  • Billing: Billing will be processed "in advance."

  • Late Payments: Any invoices unpaid past thirty (30) days from the invoice date shall accrue interest at a rate of 1.5% per month, or the maximum rate permitted under Virginia law, whichever is lower.

  • Taxes: Advertiser is solely responsible for any local, state, or federal taxes applicable to the purchase of this advertising space.

 

4. ADVERTISING CONTENT & MATERIAL SUBMISSION

  • Submission Deadline: Advertiser must submit all finalized audio materials (MP3/WAV format) and production notes at least three (3) business days prior to the scheduled broadcast date. If materials are late, the Station is not liable for missed airtime, and the Advertiser will still be billed for the scheduled block.

  • Content Approval: The Station reserves the absolute right to reject, edit, or remove any advertising content that it deems, in its sole discretion, offensive, defamatory, illegal, in violation of third-party copyrights, or conflicting with the Station’s broadcasting standards.

 

5. INDEMNIFICATION & LIABILITY

  • Advertiser Warranties: The Advertiser warrants that it owns or has secured all necessary licenses, copyrights, music clearances, and trademarks for all content supplied to the Station.

  • Indemnification: The Advertiser agrees to indemnify, defend, and hold harmless Shipyard Radio LLC, its officers, employees, and agents from any and all claims, losses, liabilities, demands, or legal expenses (including attorney’s fees) arising out of the broadcast of the Advertiser's material.

  • Limitation of Liability: The Station is an internet-based broadcaster. The Station shall not be held liable for stream interruptions, server outages, internet downtime, or technical glitches beyond its reasonable control. In the event of a Station-caused error or missed broadcast block, the Station's sole liability shall be to provide a "make-good" broadcast slot of equal value.

  • 6. GOVERNING LAW AND VENUE

  • This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws  principles. Any legal action arising under this Agreement must be brought exclusively in the state or federal courts overseeing Mecklenburg County, Virginia.

 

7. MISCELLANEOUS

  • Entire Agreement: This document, alongside Schedule A, constitutes the entire agreement between the parties and supersedes any prior oral or written understandings.

  • Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
